All projects begin with a detailed proposal outlining:

Contract Acceptance
Services commence upon:

- Receipt of initial payment or deposit
- Written confirmation of project acceptance
4. Payment Terms
Pricing and Invoicing
- All prices are quoted in US Dollars
- Payments are due within 30 days of invoice date
- Late payments may incur a 1.5% monthly service charge
- We accept various payment methods as outlined in our proposals
Deposits and Refunds
- Most projects require a 50% deposit to begin work
- Deposits are non-refundable once work has commenced
- Refund eligibility is determined on a case-by-case basis
5. Client Responsibilities
To ensure successful project completion, clients must:
- Provide accurate and complete project information
- Supply all necessary content, images, and materials
- Respond to communications within agreed timeframes
- Make timely payments according to agreed terms
- Provide access to necessary systems and accounts
- Review and approve work in a timely manner
6. Intellectual Property Rights
Ownership of Work Product
- Upon full payment, clients receive ownership of custom designs and code
- Third-party components retain their original licensing terms
- We retain the right to showcase work in our portfolio
Client-Provided Materials
Clients warrant that all materials provided are:
- Owned by the client or properly licensed
- Free from copyright infringement
- Cleared for commercial use
7. Project Changes and Revisions
Scope Changes
- Changes to project scope require written approval
- Additional work may incur extra charges
- Timeline adjustments may be necessary for scope changes
Revision Process
- Each project includes a specified number of revisions
- Additional revisions are billed at our hourly rate
- Major changes may require a new project agreement
8. Timeline and Delivery
- Project timelines are estimates based on client cooperation
- Delays in client feedback or materials may extend timelines
- We will communicate any potential delays promptly
- Force majeure events may affect delivery schedules
9. Warranties and Disclaimers
Service Warranty
We warrant that our services will be performed with professional care and skill. However:
- No guarantee of specific business results or outcomes
- Website performance depends on various factors beyond our control
- Third-party service reliability is not guaranteed

OUR SERVICES ARE PROVIDED "AS IS" WITHOUT WARRANTY OF ANY KIND, EXPRESS OR IMPLIED, INCLUDING BUT NOT LIMITED TO WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, OR NON-INFRINGEMENT.
10. Limitation of Liability
TO THE MAXIMUM EXTENT PERMITTED BY LAW:
- Our total liability shall not exceed the amount paid for services
- We are not liable for indirect, consequential, or incidental damages
- We are not responsible for loss of profits, data, or business opportunities
- Clients must notify us of any claims within 30 days of discovery
11. Termination
Termination by Client
- Clients may terminate services with written notice
- Payment is due for all work completed to termination date
- Deposits and fees paid are non-refundable
Termination by Company
We may terminate services if:
- Client fails to make required payments
- Client breaches these Terms
- Client provides false or misleading information
- Working relationship becomes unproductive
12. Confidentiality
We maintain strict confidentiality regarding:
- Client business information and data
- Proprietary methods and strategies
- Financial and personal information
- Project details and specifications
13. Force Majeure
We are not liable for delays or failures caused by circumstances beyond our reasonable control, including but not limited to natural disasters, government actions, internet outages, or other unforeseeable events.
14. Governing Law and Disputes
- These Terms are governed by the laws of the State of Georgia
- Any disputes shall be resolved in the courts of Hall County, Georgia
- Both parties agree to attempt mediation before litigation
- Prevailing party may recover reasonable attorney fees
15. Indemnification
Client agrees to indemnify and hold harmless Rosecraft Designs from any claims, damages, or expenses arising from:
- Client's use of our services
- Client-provided materials or content
- Violation of these Terms by Client
- Infringement of third-party rights
16. Modifications to Terms
We reserve the right to modify these Terms at any time. Changes will be effective immediately upon posting to our website. Continued use of our services constitutes acceptance of modified Terms.
17. Severability
If any provision of these Terms is found to be unenforceable, the remaining provisions shall remain in full force and effect.
